Abstract

The text analyzes the Superior Court of Justice's ruling in REsp 1.295.838/SP, which deals with the social function of the contract and the civil liability of third parties (external effectiveness). Through a literature review and decision analysis methodology, the author examines the construction of the contemporary meaning of Art. 421 of the Civil Code, pointing out positive and negative aspects of the judgment. It proposes paths for exploring the rule from the perspective of legal certainty and normative coherence.

Member of the Institute of Lawyers of Paraná and the Brazilian Institute of Civil Liability Studies. Co-founder of the Brazilian Institute of Contract Law. University professor and lawyer.
